Terms of Service

1. Acceptance of Terms

By accessing or using the AI Cost Guard platform, website, APIs, SDKs, CLI tools, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

AI Cost Guard is a SaaS platform that provides AI API cost monitoring, analytics, optimization recommendations, budget alerts, and usage tracking. The Service includes:

  • A web-based dashboard for viewing AI API usage and costs.
  • REST APIs for programmatic access to analytics and configuration.
  • SDKs (TypeScript, Python) for integrating cost tracking into applications.
  • CLI tools for managing projects and API keys.
  • Alert notifications for budget thresholds and anomalies.
  • AI prompt optimization and cost reduction recommendations.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Subscription Plans and Billing

4.1 Plans

The Service is offered under the following subscription plans:

  • Free Plan: Limited features with up to 10,000 events per month, 1 project, 7-day data retention.
  • Pro Plan: Enhanced features with up to 500,000 events per month, 10 projects, 90-day data retention, priority support.
  • Enterprise Plan: Unlimited events, unlimited projects, custom data retention, dedicated support, SLA guarantees.

4.2 Billing

Paid subscriptions are billed on a monthly or annual basis. All fees are in US Dollars and are non-refundable except as described in our Refund Policy. Payments are processed securely through Stripe.

4.3 Plan Changes

You may upgrade or downgrade your plan at any time through your dashboard. Upgrades take effect immediately with prorated charges. Downgrades take effect at the end of the current billing period.

4.4 Overages

If you exceed your plan's usage limits, we may throttle your API access or charge overage fees as outlined in your plan details. We will notify you when you approach your usage limits.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Transmit malware, viruses, or other harmful code.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Reverse engineer, decompile, or disassemble the Service.
  • Use the Service for competitive benchmarking without written consent.
  • Resell or redistribute access to the Service without authorization.
  • Abuse API rate limits or intentionally overload our infrastructure.
  • Use the Service to process, store, or transmit protected health information (PHI) without a separate BAA.

6. Intellectual Property

The Service, including its software, documentation, branding, and content, is owned by AI Cost Guard and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain ownership of your data. By using the Service, you grant us a limited license to process your data as necessary to provide and improve the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

8. Service Availability and SLA

We strive to maintain 99.9% uptime for our platform. However, the Service is provided "as is" without guarantees of uninterrupted availability. Scheduled maintenance windows will be communicated in advance. Enterprise customers may be eligible for a separate Service Level Agreement (SLA) with specific uptime guarantees and remedies.

9. Limitation of Liability

To the maximum extent permitted by law, AI Cost Guard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless AI Cost Guard, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through your dashboard or by contacting us. We may suspend or terminate your access if you violate these Terms.

Upon termination:

  • Your access to the Service will be revoked.
  • Your data will be retained for 30 days, after which it will be permanently deleted.
  • Any outstanding fees will remain payable.
  • You may request a data export before deletion.

12. Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable jurisdiction. Each party bears its own costs unless otherwise determined by the arbitrator.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. General Provisions

  • Entire Agreement: These Terms, along with the Privacy Policy and Refund Policy, constitute the entire agreement between you and AI Cost Guard.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations freely.
